Terms and conditions for acquiring and use of PwC Digital Learning Solutions e-learnings

Please carefully read and accept the following terms and conditions (“Terms”) before purchasing and accessing the PwC Global e-learning webshop site and the e-learning courses. By accepting the Terms you acknowledge that you have read, understood and agreed to be bound by them and to comply with all applicable laws and regulations, including relevant copyright laws.

For purposes of this site, the terms “PwC”, “PwC Digital Learning Solutions Team”, “we”, “us” refer to PricewaterhouseCoopers Auditing Ltd. the terms “you” and “your” refer to any individual intending to purchase, purchasing and using PwC e-learning.

E-Learnings are electronic and interactive “click-through” training materials prepared for specific training and learning purposes that can (only) be accessed and used by authorised users online through the site.

These Terms lay down the principles for buying access to, accessing and using the PwC e-learning courses, prepared and made available, as amended from time to time. Unless a separate agreement of the parties provides otherwise, the following terms and conditions shall be applied.

1. Technical pre-conditions

PwC e-learning courses can be bought online with online payment through the Site and accessed online according to the below Terms. Certain technical requirements (see: https://www.pwc.com/hu/en/academy/assets/e-learning_minimum_requirements_en.pdf) must be met in order to run the Site properly on your computer and have access to the e-learning courses. If you would like to access the Site on your work computer, certain client’s side settings may restrict running of the Site and certain online materials.

2. Registration on the Site

1. Registration. Registered users of the Site may use all functionality of the Site and buy access to e-learning courses. Registration shall be initiated at this webpage by creating a user account. In order to create a user account you have to fill in the following data: first name, last name, email address, purchaser country, billing information (name, address).

All user accounts must be registered with a valid personal email address that you access regularly so that moderation emails can be sent to you. Accounts registered with someone else's email address, or with temporary email addresses may be closed without notice. We may require users to re-validate their account if we believe they have been using an invalid email address.

2. Security of your password and username. You shall create a password for yourself. You must keep your password and username confidential and not disclose them or share them with anyone. You may not allow any other person to use these log-on details, nor may you re-assign or transfer these log-on and password details to anyone else. If you know or suspect that someone else knows your password you should notify us by contacting gbl_e-learning_webshop@pwc.com immediately.

3. Security breach. If we have any reason to believe that there is likely to be a breach of security or misuse of the Site, we may require you to change your password or we may suspend your account.

3. Purchasing the e-learning, technical steps of conclusion of the contract

1. Available e-learning courses. The list of available e-learnings is set out under “Browse for training tab” on the Site. The gross price of each e-learning course (VAT included) will be indicated after clicking on the textbox of the relevant course.

2. Pre-condition of order. You may submit an order once you have registered into the Site. (Please see Section 2)

3. Selecting an e-learning. You may choose the e-learning or e-learning courses you wish to buy by clicking on “Add to cart”. The e-learning courses to be ordered will be indicated in the shopping cart. You may add new e- learning courses by clicking on “continue shopping” and adding further courses to the shopping cart and delete (remove) items by clicking on the “X” remove button.

4. Payment and billing details. Payments can be made through PayPal. As payment and billing details we ask you to provide the following information: billing address (address, city, postcode), type of purchaser (individual or company), company name and VAT registration number, (if applicable).

5. Identifying and correcting errors before placing an order. Before placing an order you will have the possibility to review the details of your order by clicking the “Options” button at the top right corner of the payment checkout page. Please carefully review the Order Summary that will show you the e-learning courses you put into the shopping cart (including their prices) as well as the billing details you provided during the checkout step. You may review your registration details by clicking on the Universal profile button on the top right corner of the Site. Please note that we will send you all information necessary for accessing the purchased e-learning to the email address indicated in your registration. You may request changing your registered email address and name by sending an email to gbl_regulatory_e-learning@pwc.com. Please also carefully review your billing and payment details before placing the order and correct if necessary.

6. Placing the order. After you have reviewed the Order Summary, as well as your registration details (including delivery email address), billing and payment details, you may place an order by clicking on the “Next” button at the bottom of the page and you will be directed to Paypal to initiate payment.

7. Acceptance of these Terms. By placing an order, you acknowledge the applicability of these Terms. By sending the order, you are making a binding offer to contract.

8. Payment. You may pay for the e-learning module through PayPal. PwC does not undertake any liability for the proper operation of the PayPal system. The e-learning will be made available to you once we receive your payment. We will have no obligation to provide the e-learning services to you unless, and until you make authorized payment for the e-learning. At any point up until then, we may decline to supply the service to you without giving any reason.

9. Confirmation of your order, correction of the order. PwC will confirm receipt of your order in an email within 48 hours, stating your registration and billing data and the product ordered. We will also include a link to these Terms in our email.

Should any registration data be incorrect or incomplete or should your order contain any other mistake, please contact us without delay at gbl_e-learning_webshop@pwc.com

10. Updating your information. You must ensure that the details provided by you are correct and complete. You must inform us immediately of any changes to the information that you provided when registered by updating your personal details in order that we can communicate with you effectively.

Security of your password and username. You shall create a password for yourself. You must keep your password and username confidential and not disclose them or share them with anyone. You may not allow any other person to use these log-on details, nor may you re-assign or transfer these log-on and password details to anyone else. If you know or suspect that someone else knows your password you should notify us by contacting gbl_e-learning_webshop@pwc.com immediately.

Security breach. If we have any reason to believe that there is likely to be a breach of security or misuse of the Site, we may require you to change your password or we may suspend your account.

4. Payment and invoice

1. Purchase price. You undertake to pay the purchase price of the e-learning you chose to acquire. The amount of the purchase price is indicated under the e-learning offerings listed at the PwC’s website and the order you submitted. The prices stated on PwC’s website are current at the time of placing the order.

2. Payment. All payments must be rendered by credit card payment and must not incur any extra charges for us. The obligation to pay exists irrespective of the actual downloading of the e-learning unless downloading is not possible due to reasons attributable to us.

3. Taxes and deductions. Based on reverse charge agreements relevant for company purchases you shall pay any taxes, including VAT, that are due in relation to our service and deliverables. In case you purchase the e-learning as a private individual we are liable for the payment of VAT we collected from you in the gross price of the e-learning.

4. Online payment. You acknowledge that we forward your details required to process online payment to our online payment service provider, PayPal (address: PayPal Worldwide Operations, 12312 Port Grace Boulevard, La Vista, Nebraska 68128). PayPal will have access to your personal data that are required to the online payment: credit card details, billing address, contact information. The system will also forward to PayPal the total amount of the purchase price.

5. Invoice. We will send you the invoice electronically issued through our invoicing system to the billing address indicated at the payment checkout step. The following data required to issue an online invoice: billing address, company name and VAT registration number.

5. Delivery

1. Access to the e-learning. After entering into the Site with your user name and password you can complete the e-learning courses you have assigned via the learning interface. You can access the courses by clicking on the course name in the list under the “View your training record” menu. The courses are available for 12 months at any time within this timeframe and available for unlimited repetitions.

2. Helpline. In case of any technical issues with accessing e- learning please first read the Frequently Asked Questions under the Help tab on the Site. You may report technical issues and ask for technical help at gbl_e-learning_webshop@pwc.com.

3. Successful completion of the e-learnings: Before starting our e-learning courses, please carefully read the information for participants posted on the course interface. You must navigate through the e-learning course (or in the case of courses consisting of several modules, each module) at least once. The course (module) will be completed when you have reached the closing screen, and closed the navigation window to return to the status screen, where the course (module) will be set to “completed”.

4. Credit points. After successful completion of the e-learning, you can download the Certificate of completion from the system. The Certificate of completion contains information on CPD hours earned based on a 50-minute hour.

5. ACCA CPD certificates: By completing our e-learning courses, you can also earn ACCA CPD credit points. You will have to report to ACCA yourself the time spent on completing an e-learning course. 6. Cancelling/withdrawing from purchase and early termination

1. Cancelling or withdrawing an order. Cancelling or withdrawing from a purchase must be done in email to gbl_e-learning_webshop@pwc.com. After accessing the e-learning, you may not cancel/withdraw from the contract. Once you receive the link to an e-learning, refunds cannot be made, however, you may ask to reassign another module for you at one occasion in a 12 months period.

2. Termination of access. Your access to the e-learning service may be terminated by written notice if you are in material breach of these Terms and the breach is not remedied within the period of 5 days after written notice of the breach has been given to you. If we reasonably believe your breach of these terms affects our lawful operation of the service or third party customers we may suspend your access to the service and the Site at any time.

7. Intellectual property rights, use of the e-learning

1. IP rights. We will own the intellectual property rights to the e-learning as well as to all content published on this Site (images, logos, text, etc.)

2. Upon receipt of the purchase price of the e-learning we grant you a non-exclusive, non-transferable, time-limited right to use the Site and gain remote access to the purchased e-learning for your own learning, training and information purposes.

3. Restrictions on use. The e-learning courses, including any training materials, have been prepared for the exclusive use of the person ordering them and cannot be disclosed in any manner or form to any third parties, except (i) with our prior written consent on terms to be agreed, (ii) where required by law or regulation,. You are not allowed to use any e-learning, all or fragments of any training material for any other purposes than for your own learning purposes. Fragments of or the entire content of the e-learning may be disclosed to, reproduced or used by third parties only with our written approval. In particular you must not: republish materials; show any material in public; sell, distribute, reproduce, duplicate, copy or otherwise exploit material for a commercial purpose; or edit or otherwise modify any material.

4. Purpose of the e-learning, limitations. The e-learning courses have been prepared for general information purposes. We shall not be liable for any decision made on the basis of or with reference to these. None of the material is, or should be regarded as the provision of advice, any content, materials, information and knowledge gained through the e-learning is done at your own discretion and risk. Accordingly, no person should rely on any of the content, without first obtaining specific advice for any particular case. PwC accepts no responsibility for any person who acts or relies in any way on any of the e-learning courses or materials without first obtaining specific advice.

5. Personal development of the participants. The training has been developed to support personal development of participants and not to be relied upon by their employers in making sure that they have skills sufficient to perform their jobs, become part of the client's process, control environment or an employer’s development plan of an employee.

6. The Site may provide links to websites and access to their content. The provision of such links and content is not an endorsement of any information, content or service accessed through such links. Unless otherwise stated specifically, reference to any names, products, organisations, or other information by trade name, trademark, or otherwise does not constitute or imply its endorsement, sponsorship or recommendation by us, nor is endorsement of the Site implied by such links. They are for training reference and learning purposes only and do not indicate the existence of a partnership or joint venture between PwC and the owners of the linked site.PwC does not accept any responsibility for the correctness of the information on linked sites, nor does it accept any liability (jointly or otherwise) for your inability to access such sites through the Site or for any losses suffered as a result of incorrect information on the linked site. The Site and all its content, materials and information are provided on an "as is" and "as available" basis.

8. Certificates and diplomas

1. Upon the full and successful completion of certain e-learning courses, participants may receive acknowledgement and/or proof of participation in the form of a certificate.

2. No certificate will be distributed unless a participant has completely fulfilled all requirements of the training indicated on the certificate.

9. Liability

1. Liability to you alone. We accept no liability to anyone, other than you, in connection with our services and deliverables, unless otherwise agreed by us in writing. You agree to reimburse us for any liability (including legal costs) that we incur in connection with any claim by anyone else in relation to our services.

2. Limitation of our liability. You agree that we will be liable only when we are at fault for our actions or omissions. Our total liability (including interest) for all claims connected with the provision of the e-learning and our services or our agreement is limited to twice the purchase price payable for the relevant e-learning or the actual damages whichever is the lesser. Any liability of PwC for losses and damages constituting lost profits (lucrum cessans), anticipated savings and for all possible indirect and consequential losses, arising in connection with our services, shall be excluded.

3. Different interpretation, practice or change in law. The e-learning is intended to provide general information, we exclude all liability for damages emanating from different legal interpretations of authorities, courts or other third parties, different legal practice and future changes of law.

4. No claims against individuals. You agree to bring any claim in connection with the e-learning and our services only against us, and not against any individual, however described.

5. Further restriction on claims. You undertake not to bring any claims in respect of the e-learning and our services against any other PricewaterhouseCoopers member firm (its partners, employees, members of its bodies) or PwC’s contributors.

6. Your expectations. PwC does not assume any liability for your expectations regarding the content of the e-learning, we make no promise that the e-learning courses are appropriate or suitable for your purposes, and will meet your exact learning requirements. PwC does not assume any liability that successful knowledge transfer will take place and for any success expected from the training (such as admission to exams, passing of exams, etc.).

7. Limitations. While we try to ensure that all content provided by PwC is correct at the time of publication no responsibility is accepted for any errors, omissions or inaccurate content of any materials, in particular for matters arising from changed circumstances.

8. Warranty. We make no warranty that the Site will be available on an uninterrupted, timely, or error-free basis. Your access to the service may be occasionally restricted to allow for repairs, maintenance or the introduction of new facilities or services. We will attempt to restore the service as soon as we reasonably can. PwC Digital Learning Platform warrants that to the best of our knowledge and belief, the elearning courses complied with the description provided at the date of first availability. Although every reasonable effort has been made to ensure the accuracy of the information contained in the Courses, it may include inaccuracies or typographical errors. PwC's Digital Learning Solutions Team is entitled to change and/or update from time to time the elearning courses to remedy such inaccuracies or typographical errors. Any mandatory and applicable legal guarantee - such as the guarantee of conformity as well as the guarantee of hidden defects - applies to the e-learning courses. Any other legal warranties (which are not mandatory) do not apply.

9. Report of defects. We cannot guarantee that the service will be fault-free. If a fault occurs with the service, you should report it to gbl_e-learning_webshop@pwc.com and we will attempt to correct the fault as soon as we reasonably can.

10. Forbidden activities. You must not use this Site in any way that causes, or may cause, damage to the Site or impairment of the availability or accessibility of the Site; or in any way that is unlawful, illegal, immoral, fraudulent or harmful. You must not seek to circumvent access or security controls or otherwise threaten the security of the Site.

11. Risks of the internet and other risks. You acknowledge and accept that use of the Site is subject to the risks inherent in any connection and transmission on the internet, in particular in relation to security risks and vulnerabilities, technical performance and risk of interruption. Accordingly, PwC shall not be liable in any circumstances for any losses or damages caused by disruption or failure of internet networks, by reason of a virus, security related vulnerability, or technical or operational failure of any nature, due to third parties failing to meet their obligations or resulting from unauthorized persons interfering with the Site.

PwC does not warrant that defects will be corrected or that the service or the server makes it available are free of viruses or bugs. You acknowledge that it is your responsibility to implement sufficient procedures and virus checks (including anti-virus and other security checks). PwC shall not be liable for any losses arising in connection with no appropriate security applied by you for logins and access passwords or making the Site available to unauthorized persons.

12. Archive. PwC shall not undertake to store any archival backup copies and shall not offer the possibility of recreating them in the event of data loss.

13. Updates. We may make changes or alterations to the contents and methodology of the e-learning courses at our own discretion from time to time. However, we shall not update the already provided and/or accessed e-learning for any changes in law or regulations, or their interpretation or otherwise, that occur after your receipt of access right to the e-learning. We reserve the right to make changes or updates to the Site at any time without notice.

14. Indemnity. You hereby indemnify PwC and undertake to keep PwC indemnified against any losses, damages, costs, liabilities and expenses (including legal expenses) arising out of (a) your use of and access to the PwC Global e-learning webshop site; (b) any breach by you of any provision of these Terms or arising out of any claim that you have breached any provision of these Terms; and (c) your breach of any third party right, including without limitation, any intellectual property, confidentiality or privacy right.

10. Confidentiality

Confidentiality. We and you shall undertake to use each other’s confidential information only in relation to the purchase of the e-learning and not to disclose it without prior written consent, except i) where required by applicable Hungarian or foreign law or regulation, by an authority decision or by a professional body of which we or our staff are members, or ii) to our legal advisors or insurers. However, we may give confidential information to other PricewaterhouseCoopers member firms or relevant contributors or service providers as long as they are bound by confidentiality obligations. The obligations to keep the information – received in connection with the agreement – confidential shall remain in legal effect for five years after receipt of such information unless a longer period is prescribed by relevant law. The above will not apply to information which (i) is publicly available, or (ii) has been received from someone else who owes no duty of confidence in relation to it, or (iii) was already known by the receiving party.

11. Personal data

1. Privacy Policy. Any personal information supplied to PwC as part of the registration process and/or any other interaction with PwC will be collected, stored and used in accordance with these Terms and PwC’s Privacy Policy at https://www.pwc.com/c1/en/digital-learning-solutions/privacy_notice.html

2. Your obligation. You warrant that the personal information provided by you is accurate and correct and that you will inform PwC of any change to such information.

12. Questions and complaints

1. Questions. If you have any questions about these Terms or ordering our e-learning courses, please contact us via our website or by email to [gbl_e-learning_webshop@pwc.com*]. We will look into and respond within 10 working days.

2. Complaints. If you have any complaints with regard to services, we kindly ask that you first contact us at our contact details (by email to gbl_e-learning_webshop@pwc.com) or via our website. We will look into and respond within 10 working days to any complaints we receive.

3. Dispute settlement may also be initiated in front of a conciliation body. The contact details of the conciliation body next to the Chamber of Commerce and Industry of Budapest, that has also sole jurisdiction in case of services provided to a recipient outside of Hungary: 1016 Budapest, Krisztina körút 99. 13. Miscellaneous

1. Subcontractors and contributors. PwC may, in performance of the agreement, use the services of other providers, including other PricewaterhouseCoopers member firms (each of which is a separate and independent legal entity), without having to obtain separate consent from you. PwC shall be liable for the acts or omissions of such third parties as for its own acts and shall remain solely responsible for the services.

2. Limitation period. Any claims relating to our services must be brought no later than two years after the date the claimant should have been aware of the potential claim and, in any event, no later than four years after any alleged breach, unless a shorter limitation period is set out by law.

3. Amendment of the Terms. PwC may revise these Terms from time to time. Any amendment to these Terms will apply from the date of the publication of the amendment on this website. You agree to be bound by any amendments to these Terms.

4. Partial invalidity. In the event that a provision of these Terms is or becomes invalid or unenforceable, the remaining provisions of the Terms shall be unaffected.

5. Negotiations. If a dispute arises, the parties will attempt to resolve it by discussion and negotiation before commencing legal proceedings.

6. Language of the contract, accessibility. The contract can be concluded in English. PwC does not undertake to file the concluded contract and make it accessible for you after provision of the services. The contract is concluded in an electronic form (it is not a written agreement). We do not refer to any professional code of conduct.

7. Governing law and jurisdiction. Hungarian law will govern our agreement. The Hungarian courts will have exclusive jurisdiction over any dispute, whether contractual or non-contractual.

The present Terms were accepted and published on 22 April 2022.

SCHEDULE B : FRENCH LAW REQUIREMENTS

Immediate access to the e-learning:

According to the French law any consumer is entitled to terminate any on distance contract within 14 days from the the signature date of such contract. Notwithstanding the above, in accordance with the provisions of article L.121-21-8 of the French Consumer Code, the right of withdrawal does not apply in particular to the supply of services (i) fully executed before the end of the withdrawal period and whose execution has begun after prior express agreement by the consumer and express waiver of his right of withdrawal or (ii) as a digital content not provided on a material support for which the execution began after prior agreement of the consumer and renouncement of his withdrawal right.

By paying the order and accepting the terms and conditions of the Webshop the buyer acknowledges that he requests the immediate access to the elearning course before the end of the withdrawal period and waives expressly such withdrawal rights except as otherwise agreed in the present terms and conditions.

1. Prérequis techniques

Les e-learnings de PwC peuvent être achetés, payés et accessibles en ligne directement sur le Site et conformément aux présentes Conditions. 2. Inscription sur le Site

1. Inscription. Les utilisateurs enregistrés sur le Site peuvent utiliser toutes les fonctionnalités du Site et acheter et accéder à des e-learning. L'inscription doit être initiée sur cette page Web par la création d'un compte d'utilisateur. Pour créer un compte utilisateur, vous devez renseigner les données suivantes : prénom, nom, adresse e-mail, pays de l'acheteur, informations de facturation (nom, adresse).

3. Achat de e-learning, modalités techniques de conclusion du contrat

1. E-learnings disponibles. La liste des formations en ligne disponibles est présentée dans l'onglet « Rechercher des formations » sur le Site. Le prix brut de chaque e-learning (TVA incluse) sera indiqué après avoir cliqué sur la zone de texte du e-learning concerné.

2. Prérequis pour passer une commande. Vous pouvez passer une commande une fois que vous vous êtes inscrit sur le site. (Voir la section 2)

3. Sélection d'un e-learning. Vous pouvez choisir le ou les e-learning(s) que vous souhaitez acheter en cliquant sur « Ajouter au panier ». Les e-learnings sélectionnés seront indiqués dans le panier. Vous pouvez ajouter de nouveaux e-learnings en cliquant sur « Continuer mes achats » et ajouter d'autres e-learnings au panier ou en supprimer (retirer) des articles en cliquant sur le bouton « X » de suppression.

4. Modalités de paiement et de facturation. Les paiements peuvent être effectués via PayPal. 9. Confirmation de votre commande, correction de la commande. 4. Paiement et facturation

1. Prix de vente. Vous vous engagez à payer le prix de vente du l'e-learning que vous avez choisi d'acquérir. Le montant du prix d'achat est indiqué dans les offres d'e-learnings répertoriées sur le Site Web de PwC et dans la commande que vous avez soumise. Les prix indiqués sur le Site Web de PwC sont en vigueur au moment de la passation de la commande.

2. Paiement. Tous les paiements doivent être effectués par carte de crédit et ne doivent pas entraîner de frais supplémentaires pour nous. L'obligation de payer existe indépendamment du téléchargement effectif de l'e-learning, sauf si le téléchargement n'est pas possible pour des raisons qui nous sont imputables.

4. Paiement en ligne. Vous reconnaissez que nous transmettons vos coordonnées nécessaires au traitement du paiement en ligne à notre fournisseur de services de paiement en ligne, PayPal (adresse : PayPal Worldwide Operations, 12312 Port Grace Boulevard, La Vista, Nebraska 68128). PayPal aura accès à vos données personnelles nécessaires au paiement en ligne dont : détails de la carte de crédit, adresse de facturation, coordonnées. Le système transmettra également à PayPal le montant total du prix d'achat de vos e-learnings.

5. Facture. Nous vous enverrons la facture émise par voie électronique via notre système de facturation à l'adresse de facturation indiquée à l'étape de paiement de la commande. Les données suivantes sont nécessaires à l'émission d'une facture en ligne : adresse de facturation, nom de l'entreprise et numéro de TVA.

5. Livraison

1. Accès à l'e-learning. Après avoir accédé au Site avec votre nom d'utilisateur et votre mot de passe, vous pouvez suivre les e-learnings que vous avez achetés via l'interface d'apprentissage. Vous pouvez accéder aux e-learnings en cliquant sur le nom du e-learning dans la liste sous le menu « Consulter votre dossier de formation ». Les e-learnings sont disponibles pendant 12 mois à tout moment dans cette période et disponibles pour des répétitions illimitées.

2. Assistance. En cas de problèmes techniques liés à l'accès au e-learning, veuillez d'abord lire la foire aux questions sous l'onglet Aide du Site. Vous pouvez signaler des problèmes techniques et demander de l'aide technique à gbl_e-learning_webshop@pwc.com.

3. Réussite des formations en ligne : Avant de commencer nos e-learnings, veuillez lire attentivement les informations destinées aux participants publiées sur l'interface des cours. Vous devez naviguer dans le e-learning (ou dans le cas de cours composés de plusieurs modules, chaque module) au moins une fois. Le cours (module) sera terminé lorsque vous aurez atteint l'écran de fermeture et fermé la fenêtre de navigation pour revenir à l'écran d'état, où le cours (module) sera défini sur « terminé ».

4. Points de crédit. Après avoir terminé avec succès le e-learning, vous pouvez télécharger le certificat d'achèvement à partir du système. Le certificat d'achèvement contient des renseignements sur les heures de PPC acquises en fonction d'une heure de 50 minutes.

6. Annulation/rétractation de l'achat et résiliation anticipée

1. Annulation ou résiliation d'une commande. L'annulation ou le retrait d'un achat doit être effectué par e-mail à gbl_e-learning_webshop@pwc.com. Après avoir accédé à l'e-learning, vous ne pouvez pas annuler/résilier le contrat. Toute réclamation relative à nos services doit être introduite au plus tard deux ans après la date à laquelle le demandeur aurait dû avoir connaissance de la réclamation potentielle et, en tout état de cause, au plus tard quatre ans après toute violation présumée, à moins qu'un délai de prescription plus court ne soit prévu par la loi.

3. Modification des Conditions. PwC se réserve le droit de réviser les présentes Conditions à tout moment. Toute modification des présentes Conditions s'appliquera à compter de la date de publication de la modification sur ce site Web. Vous acceptez d'être lié par toute modification apportée aux présentes Conditions.

4. Nullité partielle. Dans le cas où une disposition des présentes Conditions est ou devient invalide ou inapplicable, les autres dispositions des Conditions ne seront pas affectées.

5. Négociations. Si un différend survient, les parties tenteront de le résoudre de manière amiable par la discussion et la négociation avant d'entamer des procédures judiciaires.

6. Langue du contrat, accessibilité. Le contrat est conclu en anglais. La traduction française est donnée pour information uniquement. PwC ne s'engage pas à archiver le contrat conclu et à vous le rendre accessible après la fourniture des services. Le contrat est conclu sous forme électronique (il ne s'agit pas d'un accord écrit). Nous ne nous référons à aucun code de déontologie.

7. Droit applicable et juridiction compétente. Notre accord sera régi par le droit hongrois. Les tribunaux hongrois auront compétence exclusive pour connaître de tout litige, qu'il soit contractuel ou non contractuel.

Les présentes Conditions ont été acceptées et publiées le 22 avril 2024.

ANNEXE B : EXIGENCES DE LA LOI FRANÇAISE

Accès immédiat à l'e-learning :

Selon la loi française, tout consommateur a le droit de résilier tout contrat à distance dans un délai de 14 jours à compter de la date de signature de ce contrat. Nonobstant ce qui précède, conformément aux dispositions de l'article L.121-21-8 du Code de la consommation, le droit de rétractation ne s'applique pas notamment aux prestations de services (i) entièrement exécutées avant la fin du délai de rétractation et dont l'exécution a commencé après accord préalable exprès du consommateur et renonciation expresse à son droit de rétractation ou (ii) à la fourniture d'un contenu numérique non fourni sur un support matériel dont l'exécution a commencé après accord préalable exprès du consommateur et renonciation exprès à son droit de rétractation.

En payant la commande et en acceptant les Conditions de la boutique en ligne, l'acheteur reconnaît qu'il demande l'accès immédiat au e-learning avant la fin du délai de rétractation et renonce expressément à son droit de rétractation, sauf accord contraire dans les présentes conditions générales.
